Evernorth’s route to additional XRP buying cleared a registration condition on Oct. 30, but weaker shares have reduced the value of its original Cantor allowance to about $63 million in a closing-price illustration, before discounts and expenses.

The XRP treasury company’s resale registration became effective for a facility allowing it to sell up to 5,218,935 new shares to CF Principal Investments, a Cantor Fitzgerald affiliate. The milestone advances a potential source of treasury funding, while the amount ultimately raised depends on share sales and market prices.

At XRPN’s Nov. 3 close of $11.98, multiplying the original full share allowance produces approximately $63 million. The same calculation at the Oct. 22 reference price of $15.46 produces $81 million. The difference is about $18 million, or 22.5%.

Those figures measure the same original allotment at two dated closing prices.

The costs between shares and XRP

Evernorth’s Oct. 26 announcement described approximately $80 million of gross proceeds if the facility were fully executed at the Oct. 22 closing price. The commitment is denominated in shares, so a lower price means less cash from the same number of shares.

XRPN closed at $14.20 on Oct. 30, fell to $11.70 on Nov. 2 and recovered to $11.98 on Nov. 3. The latest completed session therefore left the stock below the reference price behind the earlier financing illustration.

The $62.5 million illustration at the Nov. 3 close equates to roughly 48.8 million XRP at a constant $1.28 per token. The $80.7 million illustration at the Oct. 22 close equates to 63.0 million XRP at that same token price. XRP was quoted near $1.28 at 13:10 UTC on Nov. 4, with its price down about 15.5% over 30 days.

A share-denominated facility illustrates less buying power when the equity price falls.

Illustrations assume the original full allotment and precede discounts and expenses. They establish neither unused capacity, settled cash nor XRP purchases.

Both conversions precede financing costs and allocation choices. Evernorth said some proceeds would support general corporate purposes, including XRP acquisitions and product development in the XRP ecosystem. It has not committed every financing dollar to buying the token.

Under the purchase agreement, Cantor ordinarily pays 97% of volume-weighted average price during the applicable purchase period. That is a 3% discount to the period’s average, rather than a promise to pay the closing price used in the illustration.

Purchases are also generally constrained by 20% of trading volume during that period, the company’s notice estimate and a 4.99% beneficial-ownership limit. Special terms apply to accepted requests above the ordinary participation percentage.

Evernorth also disclosed fee obligations: a nonrefundable $521,893.50 upfront commitment fee, a possible upward adjustment capped at $1 million in total commitment fees, expenses and a separate $200,000 qualified-independent-underwriter fee. The commitment-fee cap does not cover all costs.

Effectiveness satisfies one commencement condition. Other contractual requirements include a final prospectus and compliance, legal, listing and transfer-agent deliverables. Management decides whether and when to send purchase notices.

Cash receipts must connect to token purchases

Fresh XRP demand from this facility requires company share issuance, settled cash proceeds and subsequent XRP acquisition. Cantor’s later resales are a separate transaction: those receipts belong to Cantor. Ordinary secondary stock trading does not itself put cash in Evernorth’s treasury.

As of Nov. 4, the available disclosures did not establish actual facility shares sold, settled proceeds, remaining capacity or subsequent XRP acquisitions. The SEC filing record and company announcements leave those amounts unresolved, without establishing that the facility has gone unused.

The decisive next signal would be a dated company disclosure connecting share-sale receipts to XRP acquired. That would turn potential buying power into documented token demand.
